Introduction & Definitions

This agreement constitutes a binding legal contract between Al-Hakeem Digital Clinics Platform (referred to hereafter as the "Platform") and the user (including the doctor, patient, pharmacist, or any user of the service).

Use of the Platform or registration in it constitutes explicit and final acceptance of all the provisions of this agreement, without reservation or condition.

Definitions

• "Platform" or "Al-Hakeem": Al-Hakeem Digital Clinics Platform and all its applications and websites.
• "Doctor": Any licensed health practitioner registered on the Platform to provide remote medical consultations.
• "Patient": Any person who uses the Platform to receive a medical consultation.
• "Pharmacist": Any licensed pharmacist who uses the Platform to dispense electronic prescriptions.
• "Digital Clinic": The doctor's professional page within the Platform through which they receive their patients.
• "Electronic Prescription": The digital medical prescription issued through the Platform, protected by an electronic seal and a unique serial number.

Nature of the Platform & Limits of Liability

The Platform operates as a digital technology intermediary linking healthcare providers (doctors) with beneficiaries (patients), and is not considered a direct provider of medical services.

The doctor bears full professional and legal responsibility for any consultation, prescription, or medical recommendation they provide through the Platform.

The Platform does not guarantee the outcomes of consultations, their accuracy, or their suitability to any health condition.

The Platform commits to providing a secure and reliable technological environment for delivering the service, including: verification of doctors' licenses, providing a secured electronic prescription system, and storage of digital medical records.

Eligibility & Professional Verification (Doctors)

The doctor acknowledges they hold a valid medical license from a recognized regulatory authority.

The doctor agrees to grant the Platform the right to:

• Verify their certificates, qualifications, and licenses through the relevant authorities.
• Suspend or close their account immediately if there is any doubt about the validity of the data.
• Reject the registration request without giving reasons.

The doctor bears full responsibility for any incorrect or misleading information provided during registration or thereafter.

Registration & Acceptance Process

A doctor's registration goes through the following stages:

• Submission of a multi-step electronic application including personal details, professional details, and supporting documents.
• Human review by the Platform's medical team.
• Notification of the doctor of the decision (acceptance, request for amendment, or rejection).

The Platform retains the right to:

• Automatically delete data of incomplete forms after the specified period.
• Request amendments to the data or documents submitted before acceptance.
• Permanently reject the request, with or without giving reasons.

Acceptance into the Platform does not guarantee continued membership, and is subject to the doctor's continuous compliance with the terms of this agreement.

Nature of Service & Medical Disclaimer

The Platform is not designed for emergency cases. The user must immediately go to the nearest health facility in case of emergencies.

The consultation depends on the information provided by the patient and is not a substitute for direct clinical examination.

The user acknowledges that remote consultations have diagnostic limitations, and may require an in-person visit recommended by the doctor.

Services available through the Platform include: voice and text consultations, issuing electronic prescriptions, and medical follow-up.

Electronic Prescriptions

Electronic prescriptions issued through the Platform are of two types:

A. Full Prescription

Issued by a doctor licensed in the patient's country. Bears only the treating doctor's signature. Processed and issued directly.

B. Endorsed Prescription

Issued by a doctor not licensed in the patient's country (an international doctor). Subject to additional medical review and bears two signatures before approval.

Each electronic prescription includes: a unique serial number, a verification QR code, an electronic seal from the Platform, and an expiration date.

The prescribing of controlled substances or narcotics is prohibited through the Platform.

Prescriptions must comply with the regulations approved in the patient's country.

Quality of Medical Service

The Platform makes reasonable effort to verify the licenses and documents of registered doctors, but does not guarantee detection of all cases of forgery or misrepresentation. The doctor acknowledges that they bear full legal and criminal responsibility for the validity and integrity of all documents and data provided, and that any forgery or misrepresentation exposes them to legal accountability and immediate suspension of their account without compensation.

Some medical prescriptions may be subject to additional review per the Platform's approved quality standards, to ensure patient safety and compliance with local regulations.

Professional correspondence relating to medical prescriptions is considered preserved records and may not be deleted or modified.

Dispensing Prescriptions

Any licensed pharmacist may dispense electronic prescriptions issued through the Platform, by scanning the verification QR code and verifying the pharmacy's identity.

The Platform applies a central locking system that prevents the same medication from being dispensed more than once.

Partial dispensing per medication is supported.

An audit log is kept for each dispensing operation including: pharmacy identity, time, and medications dispensed.

The patient is notified immediately when any medication from their prescription is dispensed.

Digital Medical Record

The Platform creates a digital medical record for each patient containing their consultation history, prescriptions, and follow-up results.

Ownership of the digital medical record belongs to the Platform. The patient has full access to their record and may extract a copy at any time.

The doctor may not transfer, copy, or share any patient's medical record outside the Platform.

The Platform commits to safeguarding the medical record according to the highest security and encryption standards.

Fees & Pricing

The doctor sets their service prices freely. Priced services include:

• Initial consultation.
• Follow-up (subsequent consultation for the same case).

Follow-up policy

• Follow-up within one week of the initial consultation: free.
• Follow-up within one month: 50% off the initial consultation fee.
• Follow-up after one month: counted as a new consultation.

The Platform takes a commission of 40% of the value of every paid consultation.

No additional service fees are charged to the patient.

Service fees are paid in advance, before the consultation begins.

The Platform retains the right to modify the commission percentage or pricing policy, with prior notice to registered doctors.

Medical License & Expiration

The doctor commits to updating their medical license on the Platform before its expiration.

If less than three weeks remain until the license expires:

• The doctor is prevented from accepting new patients.
• The doctor is prevented from setting appointments past the expiration date.
• Previously booked appointments proceed normally.

If the license expires: the doctor's account is automatically suspended until the license is renewed and updated on the Platform.

Data Privacy & Protection

The Platform commits to maintaining the confidentiality of medical and personal information per the highest professional and technical standards.

User data is stored on separate servers per country of service, in compliance with data sovereignty requirements in each country.

The user agrees to:

• Electronic storage of their health data.
• Use of de-identified data for purposes of service improvement and statistical analysis.

The Platform does not sell users' personal or medical data to any third party.

The Platform is not liable for security breaches outside the scope of reasonable technical control, provided it can demonstrate that all standard security measures were taken.

Use of Artificial Intelligence

The Platform may use AI technologies to support:

• Appointment scheduling and improving user experience.
• Triage of medical prescriptions (distinguishing routine from sensitive).
• Analysis of de-identified health data to improve service.

AI is not considered a substitute for the doctor, and no independent medical decision is built upon it. The final decision is always with the treating doctor.

Multi-Market Operation

The Platform operates in specific countries that it determines and manages at its discretion. For each supported country:

• An approved local currency.
• Customized content and dialect.
• Privacy policies compliant with local laws.
• A separate database.

The Platform retains the right to add or remove any country from its services at any time.

The doctor may activate or deactivate any market in which they are licensed. Doctors not licensed in the patient's country appear as international doctors and are subject to the Endorsed Prescription system.

Limits of Legal Liability

The Platform is not liable for any direct, indirect, or consequential damages arising from:

• The medical decisions of the treating doctor.
• Delayed responses or unavailability of the doctor.
• Errors in diagnosis or treatment.
• Service interruptions for technical reasons.

The Platform's maximum financial liability (if any) shall not exceed the value of the service paid in the relevant transaction.

Unlawful Use

It is prohibited to use the Platform for:

• Providing misleading or false medical information.
• Impersonating a doctor, pharmacist, or patient.
• Misusing the service or the prescription system.
• Attempting to dispense a forged or expired prescription.
• Circumventing the review or triage system.

The Platform reserves the right to take necessary legal action and immediately suspend the account in any of the cases mentioned.

Account Suspension or Closure

The Platform may suspend or delete any account without prior notice in case of:

• Violation of any provision of this agreement.
• Suspicion of unlawful or fraudulent activity.
• Expiration of the medical license without renewal.
• Provision of misleading information during registration.

The Platform bears no liability for damages arising from account suspension for any of the above reasons.

Intellectual Property

All rights related to the Platform — including software, design, algorithms, trademark, and content — are exclusively owned by the Platform's owner.

It is prohibited to copy, reproduce, or use any part of the Platform or its content without official written permission.

The accreditation card issued to the doctor upon acceptance is licensed for personal sharing only and may not be modified or used for independent commercial purposes.

Amendments to the Agreement

The Platform reserves the right to amend these terms at any time.

Users are notified of substantive amendments through an in-app notification or email.

Continued use after notification of an amendment is considered implicit acceptance of the updated terms.

Governing Law & Jurisdiction

The contract is subject to the laws of the country where the patient receives the service with respect to medical practice and consumer rights.

In the event of a dispute between parties from different countries, jurisdiction follows the laws of the Platform's country of registration (Republic of Sudan), unless the laws of the patient's country provide otherwise.

It is preferred to resolve disputes amicably or through arbitration before resorting to litigation.

Final Acknowledgment

By using the Platform, you acknowledge that you:

• Have read these terms and conditions in full.
• Understood all the provisions therein.
• Have accepted them in a final and legally binding manner.
• Bear responsibility for reviewing any future updates.
